Terms and Conditions
1. GENERAL. These General Terms and Conditions of Sale(“Terms”) apply to all sales or proposals for sale submitted bySeller and shall be deemed incorporated into any order issuedto Seller by a purchaser of Goods or Work (“Buyer”). Seller’sacceptance of any offer from Buyer or Buyer’s acceptance of anyoffer from Seller is deemed based only on these Terms. Noamendment, modification or waiver (including pre-printed termsin any Buyer purchase order) of these Terms is valid, unlessconfirmed in writing by Seller. These Terms contain the entireagreement between Seller and Buyer in this transaction, andsupersede all prior discussions, proposals, representations andagreements for the Goods or Work. If Buyer has not affirmativelyaccepted these Terms, then Buyer’s receipt of, acceptance of,or payment for the Goods or Work, or Buyer’s delivery of itsequipment to Seller for repair or overhaul shall constitute Buyer’sacceptance of these Terms. All orders are subject to acceptancein writing by an authorized representative of Seller.
Payment
2. PAYMENT. When the Goods or Work are ready forshipment, Seller shall invoice Buyer for the price and all othercharges payable by Buyer. Unless otherwise stated in theinvoice, Customer shall pay in full for Goods or Work (includinginvoices designated as Cash on Delivery) on or prior to the dateon which the Goods or Work are delivered to the common carrierfor delivery to Buyer or they are otherwise made available toBuyer. All payments shall be made to Seller's bank account andin currency designated in the applicable invoice. Payments by athird party on behalf of Buyer are permitted only with Seller’sprior consent. For each calendar month or fraction thereof thatpayment is late, Buyer shall pay a late payment charge on theoverdue amount at the 3-month LIBOR rate plus 400 basis points,not to exceed the highest rate permitted by applicable law. Suchinterest shall accrue on a daily basis from the due date, whetherinscribed on the relevant invoice or otherwise agreed, until actualpayment of the overdue amount. Buyer shall not withhold paymentof invoices, in whole or part, pending consideration for credit underany applicable warranty, or offset any payments due under anyother transaction with Seller or any affiliate of Seller. Unless Buyerprovides written notice within 28 days of the invoice date thatBuyer disputes in good faith all or a portion of an invoice, theinvoice shall be deemed accurate absent manifest error. Buyershall pay Seller the undisputed part of an invoice in accordancewith this Section 2.
